AI Affiliate Program Terms and Conditions

These terms form a binding agreement between you and OMNIPINK LTD. ("Company", "we", "us"), company number HE 491125, registered at John Kennedy 8, IRIS HOUSE, 3rd floor, 3106, Limassol, Cyprus, for participation in the OmniPink affiliate program (the "Program"). They apply together with the insertion order you accept when you join.

By clicking "Continue" or "I Agree", you confirm that you are at least 18 years of age. You agree to be legally bound by your insertion order and these Affiliate Terms of Service. Your participation in the Program depends on your continuous compliance with these terms.

• The campaign name is the OmniPink Affiliate Program, covering the Company's apps, including SpiceStars AI and Sugarlab AI.
• The campaign objective, target geographies and device targeting are those selected in your insertion order. Unless otherwise agreed, geography is limited to places where promotion is lawful.
• The measurement provider for the Program is Everflow. All clicks, conversions and payouts are measured in Everflow.

• RevShare line items: you earn a commission on all payments made by users you refer.
• RevShare duration: RevShare earnings are capped at exactly six months from the date of the referred user's first qualifying purchase.
• CPA line items: you earn a one-time commission when a referred user completes their first qualifying purchase.
• No repeat CPA: subsequent transactions by a CPA-referred user do not generate additional payouts.
• Minimum balance: a minimum account balance of $100 USD must be reached before any payout is initiated.
• Payment method: payouts are made by the payment method selected for your account, such as PayPal, cryptocurrency or wire transfer, subject to availability for your tier.

• All payout and tax details must be submitted successfully before the 1st of the month to be eligible for that period.
• The attribution model follows last-click logic unless otherwise agreed in writing.
• A standard 30-day cookie window applies from the user's initial click on your referral link.
• Attribution is finalized and locked at the time of the user's first account registration or email login.
• You acknowledge that the Company's tracking system's determination of attribution is final and binding.

• You may not bid on "OmniPink", "SpiceStars AI", "Sugarlab AI", their domains, or any confusingly similar variations in paid search.
• This prohibition includes exact match, phrase match and broad match modifiers targeting Company brand names.
• You must add all Company brand terms as negative keywords in all paid search campaigns.
• You may not use keywords associated with sexualizing minors, bestiality, necrophilia, incest, rape, non-consensual acts, or any other content that is illegal or prohibited under applicable laws in the United States, the European Union or Australia, or that the Company considers unethical or otherwise undesirable in its sole discretion, in any promotional material or metadata.
• Specifically prohibited terms include, but are not limited to: "pre-teen", "lolita", "jailbait", "barely legal", "schoolgirl", "underage", "minor", "child", "kiddie", "pedo", "preteen", "middle school", "high school", and any other terms, phrases or variations that suggest, imply or reference minors in a sexual manner, whether through direct language, coded language, misspellings or phonetic equivalents. This includes translations in any language and applies to all text, images, video, audio, metadata, URLs and any other form of communication or promotional material.
• These restrictions extend to domain names, page titles, meta descriptions and all advertising copy.
• Any use of Company branding or intellectual property must follow the guidelines the Company provides from time to time.

• You must implement robust age-gating on all landing pages that contain adult content.
• You must comply with all local age-verification laws and platform requirements for NSFW placements.
• We cannot accept traffic from, or pay affiliates located in, countries and territories subject to European Union sanctions, including Russia, Belarus, Iran, Syria, North Korea and the occupied regions of Ukraine. Applications and payouts connected with them are declined.
• Promotion is strictly forbidden on properties featuring child sexual abuse material (CSAM), bestiality, necrophilia, hate speech, non-consensual imagery, or any other content that is illegal or prohibited under applicable laws in the United States, the European Union or Australia, or that the Company considers unethical or otherwise undesirable in its sole discretion.
• You may not offer any form of cashback, rewards or incentives to users for signing up through your link.
• The use of cookie stuffing, forced clicks or bot traffic results in immediate account termination.

• You must provide your full legal name, postal address, date of birth and tax identification for KYC compliance.
• Personal data you provide is processed in accordance with our Privacy Policy.
• You operate exclusively as an independent contractor and have no authority to bind the Company.
• Commissions are subject to chargeback and refund clawbacks, which may result in a negative balance.
• The Company may deactivate your account immediately for any suspected breach of these terms.
• Any violation of these terms results in the immediate forfeiture of all unpaid commissions.
